These Terms govern your access to and use of the oVideo website at https://ovideo.io, including all associated applications, tools, APIs, and services (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must immediately cease all use of the Service.

1. Eligibility and Account Registration

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Service. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete. You agree to promptly update your account information if it changes.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@ovideo.io if you suspect any unauthorized access to or use of your account. oVideo shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

2. Description of the Service

oVideo is an AI-powered video creation platform that enables users to generate, edit, and export video content using artificial intelligence technologies, including but not limited to text-to-speech synthesis, AI-generated imagery, stock media integration, and automated video composition. The Service also provides optional integrations with third-party platforms for content distribution.

3. Third-Party Service Integrations

3.1 YouTube Integration

By connecting your YouTube account to oVideo, you authorize us to perform the following actions on your behalf using the YouTube Data API:

  • Upload video content to your YouTube channel
  • Retrieve basic channel metadata (channel name, ID) for display purposes
  • Set video metadata (title, description, tags, privacy status) as specified by you

We access your YouTube account strictly through the OAuth 2.0 permissions you explicitly grant. We do not store, analyze, or use your YouTube data for any purpose beyond what is necessary to provide the upload functionality. You retain full ownership and control of all content on your YouTube channel.

The Service may offer additional third-party integrations (such as TikTok, Instagram, or other social media platforms) in the future. Each integration will be subject to its own terms and will require your explicit authorization before activation.

4. User Content and Intellectual Property

4.1 Your Content

You retain all ownership rights to the original content you provide to the Service, including text, scripts, images, and other materials you upload. By using the Service, you grant oVideo a limited, non-exclusive, worldwide license to process, transform, and render your content solely for the purpose of providing the Service to you.

4.2 AI-Generated Content

Videos and media generated through the Service using AI technologies are provided to you for your use, including commercial use. However, oVideo makes no representations or warranties regarding the originality, uniqueness, or non-infringing nature of AI-generated content. You acknowledge that AI models may produce similar outputs for different users.

4.3 Copyright and Content Responsibility

YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR ALL CONTENT YOU CREATE, EXPORT, PUBLISH, DISTRIBUTE, OR SHARE USING THE SERVICE, INCLUDING BUT NOT LIMITED TO CONTENT UPLOADED TO YOUTUBE OR ANY OTHER THIRD-PARTY PLATFORM.

This responsibility includes, without limitation:

  • Copyright compliance: You must ensure that all content you create and distribute does not infringe upon the copyrights, trademarks, or other intellectual property rights of any third party. This includes, but is not limited to, music, images, video clips, logos, brand names, and any other copyrighted material.
  • DMCA and takedown requests: If any content you publish using the Service results in a copyright claim, DMCA takedown notice, Content ID match, or any other intellectual property dispute, you are solely responsible for resolving such disputes. oVideo shall bear no liability for any copyright strikes, channel penalties, account suspensions, or legal actions arising from content you publish.
  • Platform policies: You must comply with the terms of service, community guidelines, and content policies of any third-party platform to which you publish content through the Service (including but not limited to YouTube, TikTok, and Instagram).
  • Legal liability: You agree to indemnify, defend, and hold harmless oVideo and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to the content you create, publish, or distribute using the Service.

4.4 Stock Media

The Service may incorporate stock photos, videos, and audio from third-party stock media providers. Such media is licensed for use within videos created through the Service. You may not extract, download, or redistribute stock media independently from the videos created through the Service.

5. Prohibited Uses

You agree not to use the Service to:

  • Create, distribute, or promote content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Infringe upon the intellectual property rights of any third party
  • Generate spam, misleading content, or deepfake material intended to deceive
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Interfere with or disrupt the Service or its underlying infrastructure
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Use the Service for any purpose that violates applicable laws or regulations
  • Resell, sublicense, or provide the Service to third parties without our express written consent

6. Credits, Payments, and Subscriptions

Certain features of the Service require the use of credits, which can be obtained through subscription plans or one-time purchases. Credits are non-transferable and have no cash value. Unused credits may expire in accordance with the terms of your subscription plan.

All payments are processed through Paddle.com Market Limited, which acts as the Merchant of Record for all transactions. Paddle handles payment processing, invoicing, sales tax, and VAT compliance. oVideo does not directly store your full payment card information. You agree to pay all applicable fees and charges associated with your account.

8. Account Restrictions

Accounts are for individual use only and may not be transferred, sold, or shared with another party. oVideo reserves the right to suspend or terminate any account that violates these Terms or engages in fraudulent or abusive behavior.

9. Commercial Use

Subject to compliance with these Terms, you are permitted to use videos created through the Service for commercial purposes, including but not limited to marketing, advertising, social media content, and client projects.

10. Use of Company Logos and Names

By signing up for the Service using a work email address, you grant oVideo permission to use your company's name and logo on our website and marketing materials to indicate that your organization uses our Service. This permission may be revoked by contacting us at support@ovideo.io.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. oVIDEO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, oVIDEO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. oVIDEO IS NOT RESPONSIBLE FOR ANY LEGAL ISSUES, COPYRIGHT CLAIMS, OR PENALTIES THAT ARISE FROM THE USE OR DISTRIBUTION OF CONTENT CREATED THROUGH THE SERVICE.

13. Indemnification

You agree to indemnify, defend, and hold harmless oVideo and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, or any content you create or distribute through the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Changes to These Terms

oVideo reserves the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on the Service and updating the "Last updated" date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
